16.12.2021 - Die schwedische Embracer Group befindet sich nach eigenen Angaben momentan in exklusiven Verhandlungen zu einer Übernahme des französischen Brettspielkonzerns Asmodee. Zu Embracer gehören bislang die Computer- und Videospiel-Publisher THQ Nordic, Koch Media / Deep Silver, Coffee Stain, Amplifier, Saber Interactive, Deca, Gearbox und Easybrain mit mehr als 250 Spiele-Franchises, darunter Titel wie Saints Row, Goat Simulator, Dead Island, Darksiders, Metro, Kingdoms of Amalur, Wreckfest, World War Z oder Borderlands. Die Gruppe zählt insgesamt 86 Entwicklerstudios und über 9.000 Mitarbeiter/innen in mehr als 40 Ländern.

Für Asmodee will Embracer an den bisherigen Haupteigentümer PAI Partners und andere Aktionäre rund 2,75 Mrd. € bezahlen, wovon 350 Mio. € in neu ausgegebenen "Embracer B"-Anteilen und 2,4 Mrd. € in bar sowie als Schulden-Refinanzierungen vorgesehen sind. Allerdings müssen erst noch Asmodee selbst und die Asmodee-Aktionäre ihre Zustimmung erteilen. Operativ soll Asmodee unabhängig weiter arbeiten, Geschäftsführer Stéphane Carville und sein Management würden auch nach einer Übernahme im Amt bleiben. Sollte es tatsächlich zum Verkauf kommen, könnte es bis zum Inkrafttreten noch ein halbes Jahr dauern.

 

 

Embracer will durch den Zukauf einen weiteren Schritt hin zu einem "führenden unabhängigen, weltweiten Spiele-Ökosystem" tun und zur größten Spielegruppe Europas werden. So bestehe die Chance, dass sich Marken und Lizenzpartnerschaften über PC, Konsolen, Virtual Reality, mobile Spieleplattformen, Brett- und Kartenspiele hinweg gegenseitig befruchten. Den Brettspielmarkt bezeichnet Embracer als "groß", "wachsend" und "höchst robust"; hier entstünden "dauerhafte Franchises" und "starke Originalinhalte". Zusammen mit Asmodee würde die neue Gruppe 11.300 Menschen in über 50 Ländern mit 108 eigenen Studios und rund 560 Franchise-Themen beschäftigen.

 

 

Im laufenden Jahr rechnet Asmodee mit einem Nettoumsatz von 1,1 Mrd. € und einem Ergebnis vor Steuern, Zinsen und Abschreibungen (EBITDA) von 240 Mio. €. Die Führung erwartet für die kommenden fünf Jahre ein zweistelliges organisches Gewinnwachstum, was zur Attraktivität als Übernahmeobjekt beigetragen haben dürfte. Seit geraumer Zeit machte Asmodee immer wieder mit Zukäufen kleinerer Spielehersteller Schlagzeilen; inzwischen vereint der Konzern 22 Studios und mehr als 300 Spielthemen unter seinem Dach, darunter Catan, Zug um Zug, Pandemic, Dixit, Splendor, 7 Wonders, Just One, Dobble/Spot it!, Azul, Unlock!, Bezzerwizzer und Exploding Kittens. Jährlich vermarktet Asmodee in über 50 Ländern mehr als 39 Mio. Spiele, wobei man sowohl als Eigenproduzent als auch als Vertrieb für andere Entwickler auftritt. Lizenzpartnerschaften existieren u.a. zu Pokémon, Magic: The Gathering, Disney, Harry Potter, Herr der Ringe, Star Wars, Marvel, Dungeons & Dragons oder Carcassonne. (th)

The Swedish Embracer Group is currently in exclusive negotiations for a takeover of the French board game company Asmodee. So far, Embracer includes computer and video game publishers THQ Nordic, Koch Media / Deep Silver, Coffee Stain, Amplifier, Saber Interactive, Deca, Gearbox and Easybrain with more than 250 game franchises such as Saints Row, Goat Simulator, Dead Island, Darksiders, Metro, Kingdoms of Amalur, Wreckfest, World War Z or Borderlands. The group has a total of 86 developer studios and over 9,000 employees in more than 40 countries.

For Asmodee, Embracer plans to pay the previous main owner PAI Partners and other shareholders around € 2.75 billion, comprised of € 350 million in newly issued "Embracer B" shares and € 2.4 billion in cash and debt refinancing. However, Asmodee and its shareholders must first give their approval. Operationally, Asmodee is to continue to operate independently; CEO Stéphane Carville and his management team would remain in office even after a takeover. Should the sale actually be greenlit, it could still take six months before it is completed.

With the acquisition, Embracer wants to take another step toward becoming a "leading independent global gaming ecosystem" and the largest gaming group in Europe, creating the opportunity for brands and licensing partnerships to "cross-fertilise" across PC, consoles, virtual reality, mobile gaming platforms, board and card games. Embracer describes the board game market as "large," "growing" and "highly resilient" with "long-lasting franchises" and "strong original content". Together with Asmodee, the new group would employ 11,300 people in more than 50 countries with 108 studios and about 560 franchises.

In the current calendar year, Asmodee expects net sales of € 1.1 billion and earnings before interest, taxes, depreciation and amortization (EBITDA) of € 240 million. Leadership expects double-digit organic earnings growth over the next five years, which may have contributed to its attractiveness as a takeover target. For some time, Asmodee has been making headlines with acquisitions of smaller game manufacturers; the group now unites 22 studios and more than 300 franchises its umbrella, including Catan, Ticket to Ride, Pandemic, Dixit, Splendor, 7 Wonders, Just One, Dobble/Spot it!, Azul, Unlock!, Bezzerwizzer and Exploding Kittens. Annually, Asmodee markets more than 39 million games in over 50 countries, acting both as a producer and as a distributor for other developers. Licensing partnerships exist with Pokémon, Magic: The Gathering, Disney, Harry Potter, Lord of the Rings, Star Wars, Marvel, Dungeons & Dragons and Carcassonne.
